By creating an account or using any part of the MindMinders platform, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using the platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

MindMinders provides an AI-enhanced brain health and wellness platform that includes, but is not limited to:

• Brain health education modules and resources
• Digital mentor (AI-powered) for personalized guidance
• Access to licensed Health Leaders for private televideo consultation
• Cognitive assessments and brain wellness tracking
• A reward program for program compliance and milestone achievements
• Community resources and curated reference library

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or harmful behavior.

Access to premium features requires a paid subscription. By subscribing, you agree to:

• Pay all applicable fees at the time and frequency described during enrollment
• Provide valid payment information and keep it up to date
• Authorize MindMinders to charge your payment method for recurring fees

All fees are stated in U.S. dollars. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are handled on a case-by-case basis at our discretion.

You agree not to use the MindMinders platform to:

• Violate any applicable local, state, national, or international law or regulation
• Impersonate any person or entity or misrepresent your affiliation
• Upload or transmit viruses, malware, or any harmful code
• Scrape, harvest, or collect data from the platform without permission
• Interfere with or disrupt the integrity or performance of the platform
• Post or share content that is defamatory, obscene, or violates any third-party rights
• Use the platform for commercial solicitation without prior written consent

All content on the MindMinders platform — including text, graphics, logos, images, audio clips, educational modules, and software — is the property of MindMinders International, Inc. or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the platform for your personal, non-commercial use only. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

The information and content provided on MindMinders are for educational and informational purposes only. They are not intended to be a substitute for professional medical advice, diagnosis, or treatment.

To the fullest extent permitted by law, MindMinders and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or in connection with your use of, or inability to use, our services.

Our total liability to you for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless MindMinders and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

We reserve the right to suspend or terminate your access to the platform at any time, with or without cause or notice, if we believe you have violated these Terms. Upon termination, your right to use the platform will immediately cease. All provisions that by their nature should survive termination shall survive.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New York County, New York.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the effective date and, where appropriate, providing additional notice via email. Your continued use of the platform after changes become effective constitutes your acceptance of the revised Terms.
